IMPORTANT: Please read these Terms of Service carefully before using our Services. By accessing or using Sabipaws, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Services.
These Terms of Service ("Terms," "Terms of Service," or "Agreement") constitute a legally binding agreement between you ("User," "you," or "your") and Sabipaws ("we," "us," "our," or "Sabipaws") governing your access to and use of our website (sabipaws.com), mobile applications, and related services (collectively, the "Services").
By accessing, browsing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms or our Privacy Policy, you must immediately discontinue use of our Services.
These Terms apply to all users of our Services, including but not limited to customers, sellers, visitors, and anyone who accesses or uses our Services.
You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are under 18, you may only use our Services with the supervision and consent of a parent or legal guardian.
To access certain features of our Services, you must create an account. When creating an account, you agree to:
Provide accurate, current, and complete information
Maintain and promptly update your account information
Maintain the security of your account credentials
Accept responsibility for all activities that occur under your account
Notify us immediately of any unauthorized use of your account
Use only one account per person or entity
We offer different account types:
Customer Accounts: For individuals purchasing pet products and services
Seller Accounts: For businesses or individuals selling products and services on our platform
Admin Accounts: For authorized Sabipaws personnel only
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your account credentials.
Sabipaws is a pet store and e-commerce platform operating in Rwanda that provides:
Pet Products: Sale of pet food, accessories, toys, grooming products, health supplies, and other pet-related items
Pet Adoption Services: Facilitation of pet adoption processes and connections between pet owners and potential adopters
Marketplace Services: A platform for sellers to list and sell pet products and services
Delivery Services: Order fulfillment and delivery of products to customers
Customer Support: Assistance with orders, inquiries, and platform-related questions
We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice. We may also impose limits on certain features or restrict your access to parts or all of the Services without notice or liability.
You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:
Violate any applicable local, national, or international law or regulation
Infringe upon the rights of others, including intellectual property rights, privacy rights, or other proprietary rights
Upload, post, transmit, or distribute any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity
Engage in fraudulent, deceptive, or misleading practices
Interfere with or disrupt the Services or servers or networks connected to the Services
Attempt to gain unauthorized access to any portion of the Services, other accounts, computer systems, or networks
Use automated systems (bots, scrapers, spiders) to access the Services without our express written permission
Reverse engineer, decompile, or disassemble any portion of the Services
Remove, alter, or obscure any proprietary notices or labels on the Services
Collect or store personal data about other users without their consent
Use the Services to transmit viruses, malware, or other harmful code
Engage in any activity that could damage, disable, or impair the Services
Sell, resell, or exploit any portion of the Services for commercial purposes without our express written permission
If you are a seller, you additionally agree not to:
List false, misleading, or inaccurate product information
Sell counterfeit, illegal, or prohibited items
Manipulate product reviews or ratings
Engage in price fixing or other anti-competitive practices
Circumvent our payment system or fees
Use the Services to compete directly with Sabipaws
We strive to provide accurate product descriptions, images, and pricing. However, we do not warrant that product descriptions, images, or other content on our Services are accurate, complete, reliable, current, or error-free. We reserve the right to correct any errors, inaccuracies, or omissions at any time without prior notice.
Product availability is subject to change without notice. We reserve the right to limit the quantity of items purchased per person, per household, or per order. We also reserve the right to refuse or cancel any order for any reason, including but not limited to product availability, errors in pricing, or suspicion of fraudulent activity.
All prices are displayed in the currency specified on our Services (typically Rwandan Francs, RWF). Prices are subject to change without notice. We reserve the right to modify prices at any time, but such changes will not affect orders that have already been confirmed. All prices are exclusive of applicable taxes, shipping, and handling charges, unless otherwise stated.
Pet adoption services are subject to additional terms and conditions. Adoption applications are subject to approval, and we reserve the right to reject any adoption application for any reason. We are not responsible for the health, behavior, or suitability of adopted pets, and all adoptions are final unless otherwise specified in our adoption policy.
Products sold by third-party sellers on our platform are the responsibility of the seller. We are not the seller of record for third-party seller products and are not responsible for the quality, safety, or legality of such products. Sellers are responsible for compliance with all applicable laws and regulations.
When you place an order through our Services, you are making an offer to purchase the products or services at the price specified. We reserve the right to accept or reject your order for any reason, including but not limited to product availability, pricing errors, or suspicion of fraudulent activity.
Your order is not confirmed until you receive an order confirmation email from us. We may request additional information before processing your order.
We accept various payment methods, including but not limited to MTN Mobile Money, Airtel Money, and other payment methods as may be specified on our Services. You agree to provide current, complete, and accurate purchase and account information for all purchases made through our Services.
Payment processing is handled by third-party payment processors. By making a purchase, you agree to be bound by the terms and conditions of the applicable payment processor. We are not responsible for the actions or policies of payment processors.
By providing payment information, you authorize us to charge your payment method for the total amount of your order, including applicable taxes, shipping, and handling fees. If your payment method cannot be verified, is invalid, or is otherwise not acceptable, your order may be suspended or cancelled.
Refund and cancellation policies are subject to our Return and Refund Policy, which is incorporated herein by reference. Generally:
You may cancel an order before it is shipped, subject to our cancellation policy
Refunds are processed in accordance with our Return and Refund Policy
Refunds may take 7-14 business days to process, depending on your payment method
We reserve the right to refuse refunds for items that have been used, damaged, or are not in their original condition
We currently provide delivery services in Rwanda, primarily in Kigali and surrounding areas. Delivery availability may vary by location and product type. We reserve the right to refuse delivery to certain locations.
Estimated delivery times are provided at the time of order placement but are not guaranteed. Delivery times may be affected by factors beyond our control, including but not limited to weather, traffic, and circumstances with delivery partners.
Delivery charges, if applicable, will be displayed at checkout and added to your order total. Delivery charges are non-refundable unless the order is cancelled by us due to our error.
Title and risk of loss for products purchased through our Services pass to you upon delivery to the carrier or delivery partner. We are not responsible for lost, stolen, or damaged items after delivery, except as required by applicable law.
If you experience issues with delivery, please contact our customer support team immediately. We will work with you to resolve delivery issues, but we are not responsible for delays or failures in delivery caused by factors beyond our reasonable control.
If you are a seller on our platform, the following additional terms apply:
To become a seller, you must complete our seller registration process and provide accurate business information. We reserve the right to approve or reject seller applications at our sole discretion.
Sellers are responsible for:
Providing accurate, complete, and up-to-date product information
Maintaining adequate inventory levels
Fulfilling orders in a timely manner
Complying with all applicable laws and regulations
Ensuring product quality and safety
Handling customer inquiries and support requests
Maintaining accurate business and contact information
Sellers may be subject to platform fees, commissions, or other charges as specified in our Seller Agreement or fee schedule. Fees are calculated based on sales volume and other factors and are subject to change with notice.
Seller payments are processed according to our payment schedule and terms. Payments may be subject to holds, reserves, or delays based on various factors, including but not limited to dispute resolution, refunds, or compliance reviews.
Sellers grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute seller content (including product images, descriptions, and other materials) in connection with the Services.
We reserve the right to suspend or terminate seller accounts at any time for violation of these Terms, fraudulent activity, or any other reason we deem necessary to protect our platform and users.
The Services and all content, features, and functionality thereof, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are owned by Sabipaws or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or commercial use in accordance with these Terms. This license does not include the right to:
Reproduce, distribute, or create derivative works of the Services
Use the Services for any commercial purpose without our express written permission
Remove any proprietary notices or labels
Reverse engineer or attempt to extract source code
You retain ownership of any content you submit, post, or display on or through the Services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, perform, and display such User Content in connection with the Services.
"Sabipaws" and related logos and marks are trademarks of Sabipaws. You may not use our trademarks without our prior written permission.
You are solely responsible for any User Content you submit, post, or display on or through the Services. You represent and warrant that:
You own or have the necessary rights to the User Content
The User Content does not violate any third-party rights, including intellectual property, privacy, or publicity rights
The User Content is accurate, truthful, and not misleading
The User Content complies with all applicable laws and regulations
We reserve the right, but not the obligation, to monitor, review, edit, or remove any User Content at any time for any reason, including but not limited to violations of these Terms or our content policies. We do not assume any responsibility or liability for User Content or for any loss or damage resulting from User Content.
User Content must not:
Violate any applicable law or regulation
Infringe upon any third-party rights
Contain false, misleading, or deceptive information
Contain viruses, malware, or other harmful code
Be defamatory, abusive, harassing, or threatening
Be obscene, pornographic, or otherwise offensive
Promote illegal activities
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
We do not warrant that the Services will be uninterrupted, secure, or error-free, or that defects will be corrected. We do not warrant or make any representations regarding the use or results of the Services in terms of accuracy, reliability, or otherwise.
We do not warrant the quality, safety, or suitability of products sold on our platform. Product descriptions and images are for informational purposes only and may not reflect the exact appearance or condition of products. We are not responsible for any damage, injury, or loss resulting from the use of products purchased through our Services.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SABIPAWS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
Your use or inability to use the Services
Any products or services purchased through the Services
Unauthorized access to or alteration of your transmissions or data
Statements or conduct of any third party on the Services
Any other matter relating to the Services
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS (USD $100), WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion of implied warranties or the limitation of liability for incidental or consequential damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
You agree to indemnify, defend, and hold harmless Sabipaws, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:
Your use of or access to the Services
Your violation of these Terms
Your violation of any third-party rights, including but not limited to intellectual property, privacy, or publicity rights
Your User Content
Any products or services you sell or offer through the Services
Your violation of any applicable law or regulation
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you agree to cooperate with us in defending such claims.
You may terminate your account at any time by contacting us or through your account settings, if available. Upon termination, your right to use the Services will immediately cease.
We may suspend or terminate your account and access to the Services at any time, with or without cause or notice, for any reason, including but not limited to:
Violation of these Terms
Fraudulent, illegal, or harmful activity
Non-payment of fees (for sellers)
Extended period of inactivity
Request by law enforcement or government authorities
Any other reason we deem necessary to protect our Services and users
Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
Upon termination, we may delete or anonymize your account information and User Content, subject to our Privacy Policy and applicable law. We are not obligated to retain your information after account termination.
These Terms shall be governed by and construed in accordance with the laws of Rwanda, without regard to its conflict of law provisions.
Any disputes arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Rwanda. You agree to submit to the personal jurisdiction of such courts.
Before filing a formal legal claim, you agree to contact us first to attempt to resolve the dispute informally. We will try to resolve the dispute in good faith within 30 days of your notice.
You agree that any disputes will be resolved individually and not as part of a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
If you use our mobile applications, the following additional terms apply:
Our mobile applications may be available through app stores (e.g., Apple App Store, Google Play Store). Your use of our mobile applications is also subject to the terms and conditions of the applicable app store. These Terms apply in addition to, and not in lieu of, app store terms.
We may update our mobile applications from time to time. Updates may include bug fixes, new features, or security improvements. You are responsible for installing updates to ensure you have the latest version of the application.
Our mobile applications require compatible devices and operating systems. We are not responsible if our applications do not work on your device due to incompatibility or device limitations.
Our mobile applications may use data connectivity, including mobile data or Wi-Fi. You are responsible for any data charges incurred through your use of our mobile applications.
Our mobile applications may send push notifications. You can manage push notification preferences through your device settings or in-app settings, if available.
If you use our web application, the following additional terms apply:
Our web application is optimized for modern web browsers. We are not responsible if the web application does not function properly on older or unsupported browsers.
Our web application uses cookies and similar technologies. By using our web application, you consent to our use of cookies in accordance with our Privacy Policy.
We strive to maintain website availability but do not guarantee uninterrupted access. The website may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
We reserve the right to modify these Terms at any time. We will notify you of material changes by:
Posting the updated Terms on our website with a new "Last Updated" date
Sending an email notification to the email address associated with your account
Displaying a prominent notice on our Services
Updating the Terms in our mobile applications
Your continued use of the Services after we make changes to these Terms constitutes your acceptance of the updated Terms. If you do not agree with the changes, you must discontinue use of the Services and may terminate your account.
It is your responsibility to review these Terms periodically to stay informed of any updates. The date of the last update is indicated at the top of these Terms.
These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Sabipaws regarding the Services and supersede all prior agreements and understandings.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
Our failure to enforce any provision of these Terms shall not constitute a waiver of such provision or any other provision. Any waiver must be in writing and signed by us.
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign or transfer these Terms or our rights and obligations hereunder without restriction.
We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, government actions, or failures of third-party services.
These Terms do not create any agency, partnership, joint venture, or employment relationship between you and Sabipaws.
These Terms are written in English. In the event of any conflict between the English version and any translation, the English version shall prevail.
